Terms and Conditions of Use

1. Definitions

"We / Us / Our" means Nexil Software LTD, registered in Cyprus (HE435698). Registered office (not for routine correspondence): Souliou 28, Konia 8300, Cyprus.

"Game" means the browser-based videogame "T-War" and any related sites, downloads or services.

"Paddle" means Paddle.com Market Ltd, the Merchant-of-Record ("MoR") that processes all payments for the Game.

"User / you" means any natural person who accesses or buys a Subscription or In-Game Item.

2. Acceptance & Legal Capacity

By clicking "Play", purchasing a Subscription or an In-Game Item you agree to these Terms and confirm that you (a) are at least 16 years old (or the age of digital consent in your country) and (b) have legal capacity to contract.

3. Merchant-of-Record & Payment

3.1 All orders are "sold by" Paddle. Paddle issues invoices, collects payment, remits applicable taxes and handles first-line billing queries or chargebacks.

3.2 Prices displayed include any VAT/GST that Paddle must collect.

3.3 When you buy you enter (i) a supply contract with us for digital content and (ii) a separate payment-processing contract with Paddle.

4. Licence Grant

Upon account creation we grant you a limited, non-exclusive, non-transferable, revocable licence to access and play the free version of T-War. Payment of the relevant fee expands that licence to cover Subscription Features and/or purchased In-Game Items. In-Game Items are purely digital, have no monetary value and are non-transferable between users.

5. Subscriptions, Auto-Renewal & Trials

5.1 Subscriptions renew automatically for the same period unless cancelled at least 24 hours before renewal. Cancel any time via your account settings or the Paddle receipt link.

5.2 Free trials convert to paid plans unless cancelled before trial expiry; this is clearly shown at checkout.

6. Refunds

The separate Refund Policy forms part of these Terms.

7. Acceptable Use

You must not (a) reverse-engineer, decompile or hack the Game; (b) upload malicious code; (c) harass other players; or (d) use bots, cheats or automation.

Only one player account is permitted per natural person. We may suspend, restrict or ban any account if we reasonably suspect that multiple player accounts are being operated by, for, or on behalf of the same person.

8. User-Generated Content

You keep IP rights in anything you upload but grant us a worldwide, royalty-free licence to host and display it with the Game. You warrant that it does not infringe third-party rights.

9. Updates & Availability

We may patch, update or remove features at any time. Although we strive for high availability, no guarantee of 100% uptime is given.

10. Termination

We may suspend or terminate your account for material breach, including non-payment, cheating, or suspected multi-account abuse. On termination your licence ends and access is withdrawn without further liability except as required by law.

11. Disclaimers

The Game is provided "as-is" and "as-available". To the maximum extent permitted we disclaim warranties of merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of Liability

We are not liable for (a) indirect or consequential loss, (b) loss of profit, data or goodwill, or (c) more than the total fees paid by you in the previous 12 months, unless caused by our gross negligence or wilful misconduct, or unless mandatory law provides otherwise.

13. Indemnity

You agree to indemnify us from any claims arising out of your breach of these Terms or misuse of the Game.

14. Governing Law & Dispute Resolution

If you reside in the EU/EEA, your local mandatory consumer law applies and you may use the EU Online Dispute Resolution (ODR) platform until its scheduled discontinuation on 19 July 2025.

In all other cases these Terms are governed by the laws of Cyprus and disputes are subject to the exclusive jurisdiction of the Cypriot courts, unless mandatory law lets you sue elsewhere.

15. Changes

We may modify these Terms with 30 days' notice by email or in-game banner; continued use after that date constitutes acceptance.
